1. Introduction and Acceptance of Terms

Welcome to Apex Sequence Labs. These Terms and Conditions of Sale (“Terms”) govern your access to and use of the Apex Sequence Labs website, online store, and all associated services (collectively, the “Platform”). By placing an order, creating an account, or accessing any part of our Platform, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree with any part of these Terms, you must not use our Platform or purchase any products from us. We reserve the right to amend these Terms at any time. Continued use of the Platform following any changes constitutes acceptance of the revised Terms.

2. Research Use Only — Important Notice

ALL PRODUCTS SOLD BY APEX SEQUENCE LABS ARE STRICTLY FOR RESEARCH AND LABORATORY USE ONLY. THEY ARE NOT INTENDED FOR HUMAN OR VETERINARY USE, CONSUMPTION, INJECTION, OR ANY FORM OF SELF-ADMINISTRATION. THESE PRODUCTS HAVE NOT BEEN EVALUATED OR APPROVED BY ANY REGULATORY BODY FOR THERAPEUTIC OR CLINICAL USE.

By purchasing from Apex Sequence Labs, you expressly represent and warrant that:

You are a qualified researcher, scientist, or laboratory professional operating within a lawful research environment;
All products will be used solely for lawful scientific research purposes;
You will not use, administer, or distribute any products for human or animal consumption;
You understand the risks associated with handling research-grade compounds and will observe all applicable safety protocols;
You are solely responsible for ensuring compliance with all local, national, and international laws governing the purchase, possession, and use of the products.

3. Eligibility and Account Registration

You must be at least 18 years of age to purchase from Apex Sequence Labs. By placing an order, you confirm that you meet this age requirement and that you are legally permitted to purchase research compounds in your jurisdiction.

If you register an account with us, you agree to:

Provide accurate, current, and complete information during registration;
Maintain the security and confidentiality of your account credentials;
Promptly notify us of any unauthorised access or suspected breach of your account;
Accept responsibility for all activities conducted under your account.

We reserve the right to suspend or terminate accounts at our discretion, including where we have reason to believe that products may be misused or where orders appear to breach these Terms.

4. Product Information and Descriptions

Apex Sequence Labs endeavours to provide accurate and up-to-date product descriptions, specifications, and certificates of analysis. However, we do not warrant that product descriptions or other content on the Platform are error-free, complete, or current.

All product images, descriptions, and certificates of analysis are provided for informational purposes only. Purity levels, molecular weights, and other technical data refer to laboratory testing conducted at the time of manufacture and may be subject to variation. We recommend independent verification where precision is critical to your research.

We reserve the right to modify, discontinue, or limit the availability of any product without notice.

5. Pricing, Payment, and Taxes

All prices displayed on the Platform are in the currency indicated at checkout and are subject to change without notice. Prices do not include applicable taxes, duties, or shipping costs, which will be calculated and displayed prior to order confirmation.

Payment must be made in full at the time of order. We accept the payment methods listed on the Platform at checkout. All transactions are subject to verification and authorisation.

You are responsible for any applicable customs duties, import taxes, or local levies imposed by your country of delivery. Apex Sequence Labs shall not be liable for any additional charges incurred after dispatch.

6. Orders and Formation of Contract

Your order constitutes an offer to purchase products in accordance with these Terms. No contract is formed until we send you a written order confirmation. We reserve the right to refuse or cancel any order at any time, including where:

Products are unavailable or out of stock;
We are unable to verify your eligibility or intended use;
We suspect fraudulent activity or misuse;
Pricing errors have occurred on the Platform;
We are unable to fulfil the order to your delivery location.

In the event of cancellation after payment, a full refund will be issued using the original payment method.

7. Shipping, Delivery, and Risk

Apex Sequence Labs ships to select jurisdictions. It is your sole responsibility to verify that the import and possession of ordered products is legal in your jurisdiction prior to placing an order. We do not accept returns or provide refunds for orders refused by customs or detained by authorities.

Estimated delivery times are provided as guidance only and are not guaranteed. Risk of loss or damage transfers to you upon handover of the parcel to the carrier. We are not liable for delays, losses, or damage caused by the carrier or circumstances beyond our control.

We comply with all applicable export control regulations. Certain products may not be available for export to specific countries. It is your responsibility to ensure that you are not in violation of any export restriction or embargo.

8. Returns, Refunds, and Disputes

Due to the sensitive nature of research compounds, all sales are final unless:

You receive a product that is materially different from what was ordered;
Products arrive in a damaged or compromised condition (photographic evidence required within 48 hours of delivery);
A verifiable purity or quality issue is identified and confirmed by our quality team.

To initiate a return or dispute, contact us at support@apexsequencelabs.com within 7 days of delivery. Approved returns must be shipped back in original, unopened packaging at the customer’s expense unless otherwise agreed. We reserve the right to refuse returns that do not meet these criteria.

Refunds, where approved, will be processed within 14 business days.

9. Intellectual Property

All content on the Platform, including but not limited to text, images, product descriptions, logos, trademarks, and data, is the exclusive property of Apex Sequence Labs or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without our prior written consent. Any unauthorised use of our intellectual property may result in legal action.

10. Limitation of Liability and Disclaimer

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, APEX SEQUENCE LABS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Apex Sequence Labs shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from:

The use or misuse of any products purchased through the Platform;
Any personal injury, property damage, or regulatory sanctions resulting from use outside of stated research purposes;
Any reliance on product descriptions, certificates of analysis, or other information provided on the Platform;
Delays, failures, or interruptions to the Platform or delivery services.

Our aggregate liability for any claim arising in connection with a purchase shall not exceed the amount paid by you for the specific product giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Apex Sequence Labs, its directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

Your breach of these Terms;
Your use or misuse of any products;
Your violation of any applicable laws or regulations;
Any third-party claims arising from your actions.

12. Privacy and Data Protection

Your personal data is collected and processed in accordance with our Privacy Policy, which forms part of these Terms by reference. By using the Platform, you consent to the processing of your personal data as described therein.

We implement reasonable technical and organisational security measures to protect your data. However, no method of electronic transmission is entirely secure, and we cannot guarantee absolute security.

13. Prohibited Use

You must not use the Platform or any products purchased from us for any of the following:

Human or animal consumption, self-administration, or clinical use of any kind;
Resale or redistribution to third parties without our express written consent;
Any illegal, fraudulent, or harmful purpose;
Any activity that violates applicable laws, regulations, or third-party rights;
Any attempt to circumvent security features or gain unauthorised access to the Platform.

14. Governing Law and Jurisdiction

These Terms and any dispute or claim arising in connection with them shall be governed by and construed in accordance with the laws of England and Wales. Any disputes not resolved through good-faith negotiation shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability and Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

These Terms, together with our Privacy Policy and any order confirmation, constitute the entire agreement between you and Apex Sequence Labs with respect to your use of the Platform and the purchase of products.
